Terms of Service

1. Agreement to Terms

By accessing or using pipehq ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute a legal agreement between you and pipehq Limited ("pipehq", "we", "us", or "our").

2. Description of Service

pipehq provides AI automation consulting and implementation services for New Zealand businesses, including workflow automation, AI agent development, chatbot development, CRM automation, data analytics, and related professional services. Services are provided on a project or retainer basis as agreed between the parties.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Fees

Service fees are set out in the proposal or statement of work agreed between the parties. Fees vary depending on the scope of services, complexity, and engagement type (project-based or ongoing retainer).

Billing

Project fees are invoiced as outlined in your proposal. Retainer fees are billed monthly in advance. Payment is due within 14 days of invoice unless otherwise agreed.

Free Assessment

We offer a complimentary AI automation assessment. This assessment is provided at no charge and does not obligate you to engage our services.

5. Cancellation

Retainer engagements may be cancelled with 30 days written notice. Project engagements are subject to the cancellation terms in your statement of work. Upon cancellation, you will be invoiced for work completed up to the cancellation date.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorised access to the Service
• Interfere with the proper working of the Service
• Upload malicious code or content
• Resell or redistribute the Service without permission
• Use the Service to harass, abuse, or harm others

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by pipehq and protected by intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited licence to process your data solely to provide the Service.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for decisions you make based on outputs from the Service.

9. Limitation of Liability

To the maximum extent permitted by law, pipehq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless pipehq from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
